Limitation of Liability

Maximum Liability Limits

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services that gave rise to the claim, or €50,000, whichever is lower.

Excluded Damages

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or reputational damage.

Consequential Damages Exclusion

Under no circumstances shall DataVault be liable for any consequential, indirect, or special damages resulting from the use or inability to use our services, including but not limited to damages for loss of business profits, business interruption, loss of business information, or any other monetary loss. This limitation applies regardless of whether we have been advised of the possibility of such damages.

Force Majeure Provisions

Circumstances Beyond Our Control

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters or extreme weather events
  • Government actions or regulatory changes
  • Labor disputes or supply chain disruptions

  • Internet outages or telecommunications failures
  • Third-party service provider failures
  • Public health emergencies or pandemics

Legal Information and Dispute Resolution

Governing Law and Jurisdiction

Applicable Law

These Terms and Conditions and all related agreements shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus. You consent to the personal jurisdiction of such courts.

Dispute Resolution Procedures

Progressive Resolution Process

  1. Direct Negotiation: Parties must first attempt to resolve disputes through good faith negotiations for a period of 30 days
  2. Mediation: If negotiation fails, disputes shall be submitted to mediation through a Cyprus-based mediation service
  3. Arbitration: Unresolved disputes may be submitted to binding arbitration under Cyprus Arbitration Rules
  4. Court Proceedings: As a last resort, matters may be brought before competent courts in Nicosia, Cyprus

Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these terms. The remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Terms Modification Policy

Modification Rights:

We reserve the right to modify these Terms and Conditions at any time to reflect changes in our services, legal requirements, or business practices

Notification Process:

Material changes will be communicated through email notification to registered clients and website posting with at least 30 days advance notice

Acceptance:
